Terms of Service — HotHabesha

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and HotHabesha ("we," "us," "our," or "the Platform"). By accessing, registering on, or using hothabesha.com and any associated services, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform after any modification constitutes acceptance of the updated Terms.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years of age to access or use the Platform. By registering or using the Platform, you represent and warrant that you are 18 years of age or older. If we discover or have reason to believe that you are under 18, we will immediately terminate your account and delete your data without notice or refund.

2.2 Legal Capacity

You must have the legal capacity to enter into a binding contract under the laws of your jurisdiction. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2.3 Geographic Restrictions

The Platform is primarily designed to serve users in Ethiopia/Addis Abeba and Dubai. By using the Platform from other jurisdictions, you are responsible for ensuring that your use of the Platform complies with all applicable local laws and regulations in your jurisdiction.

3. Account Registration

3.1 Account Creation

To access most features of the Platform, you must create an account by providing a valid username and password, and any other required information. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to secure your account credentials.

3.3 One Account Per Person

You may only maintain one active account. Creating multiple accounts to circumvent a ban, suspension, or other restriction is strictly prohibited.

3.4 Account Verification

We reserve the right to verify your identity and age at any time. Failure to cooperate with verification requests may result in suspension or termination of your account.

4. Subscriptions and Payments

4.1 Subscription Plans

Access to companion profiles, photos, and certain features of the Platform requires an active paid subscription. We offer three subscription tiers:

HOT Normal Plan: provides access to standard-tier companion profiles and photos, and a limited number of Models.
Instagram Model Plan: provides access to standard and Instagram-tier companion profiles, direct contact information, unlimited in-platform messaging, and priority booking.
HOT Private Plan: provides full access to all companion profiles including exclusive private-tier listings, a personal account manager, same-day booking, and concierge support.

The features available under each plan are described in detail on the Membership page of the Platform and are subject to change with reasonable notice.

4.2 Payment Process

HotHabesha uses an automated payment verification system powered by AI to review subscription receipts. To activate a subscription, you must:

Select your desired plan on the Membership page.
Transfer the applicable subscription fee to HotHabesha's designated bank account using the payment details provided.
Upload a clear photograph or screenshot of your bank transfer receipt through your account.
Allow our automated verification system to analyse and validate your receipt.

Once uploaded, your receipt is processed automatically by our AI verification service, which checks the payment details against our records. Approved payments are activated without manual review in most cases, typically within minutes. If the system cannot verify a receipt automatically — for example, due to poor image quality, mismatched amounts, or suspected fraud — the submission may be flagged for further review or rejected. We reserve the right to reject any payment that cannot be verified or that appears fraudulent.

4.3 Subscription Period and Renewal

All subscriptions are billed on a monthly basis. Your subscription is valid for 30 days from the date of approval. Subscriptions do not automatically renew. To continue your access after expiry, you must submit a new payment.

4.4 Pricing

Subscription prices are listed in Birr (ETB) and are subject to change. Price changes will be communicated on the Platform and will apply to new subscription periods, not to currently active subscriptions.

4.5 Refund Policy

All subscription fees are non-refundable. Once a payment has been approved and your subscription activated, we do not offer refunds for any reason, including but not limited to: change of mind, dissatisfaction with available profiles, failure to use the Platform during the subscription period, account suspension for violations of these Terms, or any other reason. By submitting a payment, you acknowledge and accept this no-refund policy.

4.6 Fraudulent Payments

Submitting a falsified, altered, or fraudulent receipt as proof of payment is strictly prohibited. If we determine that a submitted receipt is fraudulent or inaccurate, we will immediately reject the payment, terminate your account, and report the matter to relevant authorities where applicable.

5. Use of the Platform

5.1 Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You are permitted to browse companion profiles, submit booking requests to companions, use the in-platform messaging system, leave reviews following completed bookings, and manage your account and preferences.

5.2 Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Using the Platform if you are under 18 years of age.
Posting, sharing, or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
Attempting to gain unauthorized access to any part of the Platform, other users' accounts, or our systems.
Using automated tools, bots, scrapers, or scripts to access, collect, or reproduce any content from the Platform.
Attempting to circumvent any security features, subscription restrictions, or content access controls on the Platform.
Harassing, threatening, or intimidating any companion, other user, or member of our staff.
Attempting to conduct financial transactions or exchange personal payment details with companions outside of the Platform in ways that violate these Terms.
Sharing your account credentials with any third party or allowing others to use your account.
Creating multiple accounts to circumvent restrictions, bans, or subscription requirements.
Using the Platform to solicit, advertise, or promote any product or service not authorized by HotHabesha.
Collecting or harvesting personal information about other users without their consent.
Uploading, transmitting, or distributing any malware, viruses, or other harmful code.
Taking any action that could damage, disable, overburden, or impair the Platform's servers or infrastructure.
Violating any applicable local, national, or international law or regulation.

6. Companion Profiles and Listings

6.1 Nature of the Platform

HotHabesha is a companion directory and booking facilitation platform. We do not employ companions. Companions listed on the Platform are independent individuals who have agreed to list their profiles subject to their own acceptance of applicable terms. HotHabesha acts solely as a technology platform connecting users with available companions and is not a party to any agreement, arrangement, or transaction between a user and a companion.

6.2 Profile Accuracy

We make reasonable efforts to verify companion profiles and ensure the accuracy of information displayed on the Platform. However, we do not guarantee the accuracy, completeness, or currency of any profile information, including photos, availability, pricing, or service descriptions. Photos and content displayed on profiles are provided by companions and are their responsibility.

6.3 Tier Access

Companion profiles are organized into three access tiers: Normal, Instagram, and Private. Access to each tier depends on your active subscription plan. Accessing profiles above your subscription tier is not permitted.

6.4 Booking Requests

Submitting a booking request through the Platform does not guarantee a confirmed booking. Companions retain the right to accept or decline any booking request at their discretion. HotHabesha is not responsible for any declined, cancelled, or unfulfilled booking requests.

6.5 User Responsibility

Any arrangement, meeting, or transaction between a user and a companion is entirely at the user's own risk. HotHabesha is not responsible for and expressly disclaims all liability for the conduct, actions, or omissions of any companion or user in connection with a booking or meeting facilitated through the Platform.

7. Reviews and User Content

7.1 Reviews

You may leave a review and rating for a companion after a booking is marked as completed. Reviews must be honest, based on your genuine first-hand experience, and must not contain false, defamatory, or harassing content.

7.2 User Content License

By submitting any content to the Platform, including reviews, messages, or profile information, you grant HotHabesha a non-exclusive, worldwide, royalty-free license to use, store, display, and process that content in connection with operating and improving the Platform.

7.3 Content Moderation

We reserve the right to remove any content that we determine, in our sole discretion, violates these Terms, is abusive, is fraudulent, or is otherwise inappropriate. We are not obligated to monitor all content on the Platform.

8. Intellectual Property

8.1 Platform Ownership

All content on the Platform that is not user-generated, including but not limited to the website design, layout, graphics, logos, code, text, and overall visual appearance, is owned by or licensed to HotHabesha and is protected by applicable intellectual property laws.

8.2 Restrictions

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Platform or its content without our prior written permission.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Platform, you grant us the right to use that feedback without any obligation to compensate you or give you credit.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your personal information.

10. Disclaimers

10.1 No Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOTHABESHA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

10.3 Third-Party Content

The Platform may contain links to third-party websites or services. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOTHABESHA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for all claims arising from or related to the Platform shall not exceed the total subscription fees paid by you to HotHabesha in the 3 months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless HotHabesha and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way related to: your use of the Platform; your violation of these Terms; your violation of any applicable law or regulation; any content you submit to the Platform; or any dispute between you and any companion or other user.

13. Account Suspension and Termination

13.1 Termination by You

You may close your account at any time by accessing the account deletion option in your profile settings or by contacting us. Closing your account does not entitle you to a refund of any subscription fees.

13.2 Termination by HotHabesha

We reserve the right to suspend or permanently terminate your account, with or without notice, if we determine in our sole discretion that you have violated these Terms, engaged in prohibited conduct, submitted fraudulent payment information, or posed a risk to the safety or security of other users or the Platform. No refund will be issued upon termination for cause.

13.3 Effect of Termination

Upon termination of your account, your right to access the Platform immediately ceases. Provisions of these Terms that by their nature should survive termination, including Sections 8, 10, 11, 12, and 14, shall survive.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the competent courts of Addis Ababa, Ethiopia, and you consent to the exclusive jurisdiction of those courts.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and HotHabesha regarding the Platform and supersede all prior agreements, representations, and understandings, whether written or oral, relating to the subject matter hereof.

We do not guarantee that the Platform will be available at all times or without interruption. We may suspend, limit, or discontinue the Platform or any feature at any time for maintenance, security, legal, or business reasons. The Platform may contain links to third-party websites or services; we have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

Limitation of Liability

HotHabesha is a technology platform connecting members with independent companions. We do not employ companions and are not a party to any arrangement or meeting between users and companions. Any such interaction is undertaken entirely at your own risk.
